1. Acceptance of Terms

By accessing or using EduGears AI, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These Terms apply to all users, including institutional administrators, instructors, and students.

2. Use of Service

EduGears AI provides a 100% AI-powered Learning Management System and AI-powered educational tools that can be used as a complete standalone LMS or added to the LMS your institution already uses. You may use our services for lawful educational and training purposes in accordance with these terms. You agree not to misuse the service, attempt to access systems or data you are not authorized to access, or use the service to generate unlawful, harmful, or abusive content.

3. Institutional Registration

Institutional administrators are responsible for setting up EduGears AI for their institution — whether as a standalone LMS or connected to an existing LMS — and for managing access for instructors and students. By registering your institution with EduGears AI, the registering administrator represents that they have the authority to bind the institution to these Terms.

4. Customer Reference

By registering your institution with EduGears AI, you grant EduGears AI the right to identify your institution by name as a user of the EduGears AI platform in our marketing materials, website, and other promotional content. We will not use your institution's logo or imply a formal endorsement or partnership without separate written consent. You may withdraw this consent at any time by contacting support@edugears.ai.

5. Intellectual Property

Content you create using EduGears AI — including AI-generated courses, questions, assessments, slides, and study materials — remains your property. The EduGears AI platform, including its technology, branding, and features, is the property of EduGears AI LLC. You may not copy, modify, or distribute our platform or its components without written permission.

6. Grades and Assessment

When grade recording is enabled, EduGears AI submits grades to your gradebook — within EduGears AI or, when connected to an existing LMS, to that system's gradebook. Instructors are responsible for reviewing AI-generated grades before final submission to students. EduGears AI is not responsible for grading outcomes or academic decisions made based on AI-generated scores.

7. Privacy and Data Protection

EduGears AI is FERPA and COPPA compliant. We collect only the minimum information required to provide the service (such as name, email, role, and course context). All data is encrypted in transit and at rest. We do not store credentials from external systems, and student content is never used to train AI models. We do not sell personal data to third parties. 8. AI Providers and Bring Your Own Key

EduGears AI integrates with third-party AI providers including OpenAI, Anthropic, Google, DeepSeek, and Sarvam AI. If you use the Bring Your Own Key (BYOK) option, your API key is used solely to make requests to your chosen provider on your behalf. You are responsible for compliance with your AI provider's terms of service and for any costs incurred.

9. Payment and Credits

EduGears AI offers a free tier with a monthly credit allowance. Paid plans and credit top-up packs are available for higher usage. All payments are processed securely. Credits are non-refundable except where required by applicable law. We reserve the right to change pricing with reasonable advance notice.

10. Disclaimer of Warranties

EduGears AI is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or completely secure. AI-generated content may contain inaccuracies and should be reviewed by qualified educators before use.

11. Limitation of Liability

To the maximum extent permitted by law, EduGears AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid to EduGears AI in the twelve months preceding the claim.

12. Termination

We reserve the right to suspend or terminate your access to EduGears AI at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your use of the service at any time by closing your account or, where EduGears AI is connected to an existing LMS, by removing the integration from your LMS.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

14. Changes to These Terms

We may update these Terms from time to time. We will notify registered institutions of material changes by email or via a notice on the platform. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.
